GENERAL CONDITIONS MIKE'S MUSHIN
Article 1. Definitions
1.1 Mike's Mushin: the company that offers coaching services to clients.
1.2 Client: the natural person who uses the services of Mike's Mushin.
1.3 Services: coaching services offered by Mike's Mushin.
1.4 Agreement: the agreement between Mike's Mushin and the client regarding the delivery of services.
1.5 Written: both traditional written communication and communication by e-mail.
Article 2. Applicability
2.1 These general terms and conditions apply to all agreements between Mike's Mushin and the client.
2.2 Deviations from these general terms and conditions are only valid if agreed in writing between Mike's Mushin and the client.
Article 3. Offer and conclusion of agreement
3.1 All offers and quotations from Mike's Mushin are without obligation, unless expressly stated otherwise.
3.2 An agreement is concluded when Mike's Mushin sends a written confirmation to the client, or when Mike's Mushin actually starts performing the agreed services.
Article 4. Obligations of Mike's Mushin
4.1 Mike's Mushin will perform the agreed services to the best of its knowledge and ability.
4.2 Mike's Mushin will respect the confidentiality of all client information that Mike's Mushin knows or can reasonably suspect is confidential.
4.3 Mike's Mushin is not liable for damage resulting from failure to comply with these obligations, unless there is intent or gross negligence on the part of Mike's Mushin.
Article 5. Client obligations
5.1 The client will always provide Mike's Mushin in a timely manner with all useful and necessary information for the proper execution of the agreement.
5.2 The client guarantees that all information he provides to Mike's Mushin is correct and complete.
5.3 The client will indemnify Mike's Mushin against any claims from third parties related to the services provided by Mike's Mushin.
Article 6. Rates and payment
6.1 The rates for the services are stated on the Mike's Mushin website and are exclusive of VAT, unless stated otherwise.
6.2 Mike's Mushin is entitled to index its rates.
6.3 Payment must be made within 30 days of the invoice date, unless otherwise agreed.
6.4 If the client does not pay on time, he is legally in default and Mike's Mushin is entitled to charge the statutory interest.
6.5 If the client is in default of payment, Mike's Mushin is entitled to charge collection costs in accordance with the Extrajudicial Collection Costs Standards Act.
Article 7. Cancellation and rescheduling of appointments
7.1 If the client wishes to cancel or move an appointment, he must do so at least 24 hours in advance, otherwise Mike's Mushin is entitled to charge the costs of the planned appointment.
7.2 If Mike's Mushin wishes to cancel or move an appointment, he will inform the client as soon as possible.
Article 8. Duration and termination
8.1 The agreement between Mike's Mushin and the client is entered into for the duration of the service.
8.2 The agreement can be terminated prematurely by both parties with due observance of a reasonable notice period of one month, unless otherwise agreed.
8.3 Termination of the agreement does not release the client from his payment obligation.
Article 9. Liability
9.1 Mike's Mushin is only liable for direct damage resulting from a shortcoming in the execution of the agreement.
9.2 Mike's Mushin is not liable for indirect damage.
9.3 The liability of Mike's Mushin is limited to the amount paid out in the relevant case by its liability insurance, plus the deductible borne by Mike's Mushin.
Article 10. Complaints
10.1 If the client has complaints about the services provided by Mike's Mushin, he must inform Mike's Mushin in writing as soon as possible.
10.2 Mike's Mushin will substantively process and respond to the complaint as soon as possible, but in any case within 14 days of receipt of the complaint.
Article 11. Applicable law and disputes
11.1 The agreement between Mike's Mushin and the client is exclusively governed by Dutch law.
11.2 Disputes between Mike's Mushin and the client will initially be submitted to the competent court in the district where Mike's Mushin is located.
Article 12. Changes and additions
12.1 Mike's Mushin is entitled to change or supplement these general terms and conditions.
12.2 Changes or additions will only take effect after they have been agreed in writing between Mike's Mushin and the client.
12.3 If the client does not agree with the changes or additions, he has the right to terminate the agreement.
Article 13. Final provisions
13.1 If and to the extent that any provision of these general terms and conditions is declared null and void or annulled, the other provisions of these general terms and conditions will remain in full force.
13.2 The client is not entitled to transfer his rights and obligations under the agreement to third parties without prior written permission from Mike's Mushin.
13.3 Mike's Mushin is entitled to transfer its rights and obligations under the agreement to third parties, provided the client has been informed of this in writing.
13.4 All agreements and disputes between Mike's Mushin and the client are exclusively governed by Dutch law.
13.5 These general terms and conditions have been drawn up in the Dutch language. In the event of disputes about the interpretation or content of these general terms and conditions, the Dutch text will be binding.
13.6 These general terms and conditions take effect on the day of the agreement and apply to all agreements between Mike's Mushin and the client, unless otherwise agreed in writing.
